Terms of service
These Terms govern access to this website and the supply of services by NF Entertainment Co. Ltd. ("NF"), a company registered in the Kingdom of Thailand with its registered office in Bangkok. They apply to equipment rental (NF Rental), video and photo coverage and production services (NF Coverage), and event and touring production (NF Events and NF Productions). For any specific engagement, the individually signed quotation, rental agreement or statement of work prevails over these Terms to the extent of any conflict.
01Definitions and interpretation
In these Terms, unless the context requires otherwise:
- "NF", "we", "us" means NF Entertainment Co. Ltd.; "you" or "Client" means the person or entity engaging NF or using the website.
- "Equipment" means any item, accessory, case or media supplied under a rental; "Services" means rental, coverage, production, event and related services.
- "Agreement" means the signed quotation, rental agreement or statement of work between the parties, together with these Terms.
- "Rental Period" means the period from handover to return stated in the Agreement; "Deliverables" means edited materials supplied under a coverage or production engagement.
Headings are for convenience only. References to statutes include their amendments. "Including" means "including without limitation".
02Scope and these terms
These Terms apply to all enquiries, quotations, bookings and Services unless varied in writing by an authorised representative of NF. By using the website or accepting a quotation you agree to these Terms on behalf of yourself and any entity you represent.
Where a separate signed Agreement covers an engagement, that Agreement and these Terms are read together; in case of conflict the signed Agreement prevails, then the quotation, then these Terms.
03Eligibility and authority
Services are offered to businesses and professionals. By contracting you confirm that you are at least 20 years old (the age of majority in Thailand), that you have authority to bind any entity on whose behalf you act, and that the information you provide is accurate and complete.
04Quotations and bookings
Quotations are valid for the period stated and, failing that, for 14 days. A request submitted through the website or by email is an invitation to treat and is not binding on NF.
A booking is confirmed only when (a) NF confirms availability in writing, (b) the Client accepts the quotation, and (c) the security deposit and any required advance are received. NF may decline any booking at its discretion before confirmation.
05Prices, payment and taxes
Prices are quoted in Thai Baht (THB) and are exclusive of value added tax unless stated otherwise.
- Thai VAT (currently 7%) is added where applicable.
- Where the Client is required by Thai law to deduct withholding tax, it shall provide a valid withholding tax certificate; amounts are otherwise payable in full.
- Bank charges, customs duties and delivery costs are borne by the Client unless the Agreement states otherwise.
- Invoices are payable within the period stated on the invoice; in the absence of a stated period, on receipt. Overdue amounts bear interest at 1.25% per month or the maximum permitted by Thai law, whichever is lower.
NF may suspend Services or withhold Deliverables while undisputed amounts remain overdue.
06Security deposit
A security deposit equal to the amount stated for each item or engagement is required before handover or the start of work. The deposit secures the Client obligations and is returned, less any amounts properly due for loss, damage, late return or unpaid fees, within a reasonable time after return and inspection.
07Delivery, collection and return
Risk in the Equipment passes to the Client on handover (pickup or delivery) and remains with the Client until the Equipment is returned to and accepted by NF.
The Equipment must be returned by the end of the Rental Period in the condition received, with all accessories, cases and media. Late return is charged at the applicable daily rate per day or part day, without prejudice to NF other remedies.
08Use of equipment
The Client shall use the Equipment with reasonable skill and care, in accordance with manufacturer instructions, and only for lawful purposes. The Client shall not:
- sub-let, lend, pledge or part with possession of the Equipment without NF prior written consent;
- remove, alter or obscure any serial number, label or marking;
- use the Equipment outside Thailand without NF prior written consent;
- expose the Equipment to conditions exceeding its rated tolerances or operate it beyond its intended use.
09Insurance
Before handover the Client shall hold insurance covering loss of and damage to the Equipment for at least its declared replacement value, together with appropriate public liability cover. NF may require proof of cover and may be named as loss payee or additional insured.
NF may refuse or suspend a rental where insurance documents are missing, inaccurate or insufficient. Insurance does not relieve the Client of liability for any excess, exclusion or uninsured loss.
10Loss, damage and wear
The Client is liable for loss of, or damage to, the Equipment occurring during the Rental Period, other than fair wear and tear. Damage is charged at the cost of repair (parts and labour) or, where repair is not economic, at replacement cost. The Client is responsible for transit loss or damage when arranging its own transport.
NF is not liable for the Client loss of use, downtime or rescheduling costs arising from Equipment failure; the Client should allow appropriate contingency for critical productions.
11Coverage and production services
Coverage, event and production Services are supplied per the statement of work, which sets out scope, schedule, locations, crew, deliverables and fees. The Client shall provide timely access, accurate brief materials, and any permits or consents required at the locations.
Changes to scope, schedule or location may affect fees and timelines and will be handled by written change order. NF engages reputable suppliers and charges a transparent production fee with no hidden margin on third-party costs.
12Intellectual property and footage rights
Unless the Agreement states otherwise:
- raw footage, project files and out-takes remain the property of NF; the Client receives the agreed Deliverables;
- on full payment, NF grants the Client a worldwide, perpetual licence to use the Deliverables for the purposes set out in the Agreement;
- NF retains the right to use the Deliverables and behind-the-scenes materials for its own portfolio, showreel and marketing, unless the Client requests confidentiality in writing in advance;
- the Client is responsible for clearances in materials it supplies (brand assets, logos, music, talent and location releases) and warrants it holds the necessary rights.
NF owns all rights in the website, its design and content, except third-party marks shown with permission.
13Cancellation and rescheduling
Cancellation by the Client incurs the following fees, calculated on the value of the booking:
- more than 14 days before the start date: no fee;
- 7 to 14 days before: 25%;
- less than 7 days before: 50%;
- less than 48 hours before, or no-show: 100%.
Rescheduling is subject to availability and may be treated as a cancellation and rebooking. If NF cancels for reasons within its control, it will refund sums paid for the cancelled Services or, with the Client agreement, reschedule.
14Liability
Nothing in these Terms excludes or limits liability that cannot be excluded under Thai law, including liability for death or personal injury caused by negligence, or for fraud.
Subject to the above, NF total aggregate liability arising out of or in connection with an engagement is limited to the total fees paid by the Client for that engagement. NF is not liable for indirect or consequential loss, loss of profit, revenue, data, goodwill, or loss arising from Equipment downtime or rescheduling.
15Warranties and disclaimers
NF maintains its Equipment in good working order and supplies Services with reasonable skill and care. Except as expressly stated, the Equipment is supplied "as is" and the website "as available", and all implied warranties are excluded to the extent permitted by law.
16Indemnity
The Client shall indemnify NF against claims, losses and reasonable costs arising from the Client misuse of the Equipment or Deliverables, breach of these Terms, or infringement of third-party rights in materials the Client supplies.
17Confidentiality
Each party shall keep confidential the non-public information of the other disclosed in connection with an engagement and use it only for that engagement, except where disclosure is required by law or competent authority.
18Data protection
NF processes personal data in accordance with its Privacy Policy and the Thailand Personal Data Protection Act B.E. 2562 (2019) ("PDPA") and, where applicable, the EU General Data Protection Regulation ("GDPR"). The Privacy Policy forms part of these Terms.
19Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including natural disasters, fire, flood, epidemic or public-health measures, acts of government, strikes, civil unrest, or failure of utilities or networks. The affected party shall notify the other and use reasonable efforts to mitigate; NF will reschedule or refund as applicable.
20General
- Assignment: the Client may not assign the Agreement without NF written consent; NF may assign to an affiliate or successor.
- Severability: if any provision is held invalid, the remainder continues in force.
- Waiver: no failure to enforce a right is a waiver of it.
- Entire agreement: the Agreement and these Terms are the entire agreement and supersede prior discussions.
- Variation: NF may update these Terms for future engagements; the version in force at booking applies to that booking.
- No partnership: nothing creates a partnership, agency or employment between the parties.
21Notices
Notices to NF shall be sent through the contact form on this website or to the address stated in the Agreement. Notices to the Client are sent to the contact details it has provided. Notices are deemed received on the next business day in Bangkok.
22Governing law and jurisdiction
These Terms and any non-contractual obligations arising from them are governed by the laws of the Kingdom of Thailand. Subject to the dispute resolution clause below, the courts of Bangkok have exclusive jurisdiction.
23Dispute resolution
The parties shall first attempt to resolve any dispute by good-faith negotiation between senior representatives. Failing resolution within 30 days, the dispute shall be referred to mediation and, if still unresolved, to arbitration administered by the Thai Arbitration Institute in Bangkok, in the English language, before recourse to the courts for interim relief or enforcement.
24Language
These Terms may be provided in several languages for convenience. In case of any discrepancy, the English version prevails.
